1. Introduction

(a) Illumnify Technologies Private Limited is a private limited company incorporated under the Companies Act, 2013, having its registered office at Purva Windermere,Block-B3, Flat - 302, Bavani Amman Kovil Street, Pallikaranai, Chennai, Tamil Nadu– 600100 ("Company"; "We"; “Our”; "Accio Robotics "). The Company owns, operates and manages the website https://acciorobotics.com/ under this brand ‘Accio Robotics’ (“Platform”) whereby We, through the Platform, provide a space for communicating your queries or requests pertaining to the business of Accio Robotics 1(“Services”), subject to term and conditions indicated in this document and/or any part of the Platform.

(b) “Users” “You” or “Your” means any natural or legal persons, whoever accesses or uses the Platform and in the event that a natural person is representing a business entity, reference to such terms shall include a reference to such business entity as well.

(c) The Company provides the User access to this Platform, including all information, tools and services available from this Platform, conditioned upon Your acceptance of all terms, conditions, policies and notices stated herein. The User’s use of thePlatform and related Services, including but not limited to viewing information, acting on such information and the transactions that may be implemented through the Platform, is governed by and shall be subject to these terms and conditions(hereinafter referred as “Terms of Service” or “Terms”), the terms whereof are subject to change at any time, without prior notice to You. Any new features or tools which may be added to the Platform by the Company shall also be part of the Terms of Service. To ensure that You are aware of the changes, please review the Terms ofService and all the documents referred to hereunder periodically.

(d) If You continue to browse through this Platform, You are agreeing to be bound by the Terms which along with the Privacy Policy, as displayed on the Platform, govern your relationship with us. You confirm that You have also read and have agreed and accepted to be bound by the terms and conditions incorporated in the terms of thePrivacy Policy, which shall be deemed to be a part of these Terms of Service.

(e) In the event You are representing an incorporated entity, You hereby confirm thatYou have been expressly authorised by such entity to consent the Terms of Service, and such entity agrees to be bound by the terms hereunder.

(f) The Terms of Service sets forth the legally binding terms of Your use of the Platform and related Services. By proceeding further, You confirm that You have read, agreed and accepted to be bound by the terms and conditions mentioned herein.Kindly read the Terms of Service carefully before accessing or using the Platform and/or the Services. 1

(g) These Terms of Service apply to all Users of the Platform, including without limitation users who are browsers, vendors, and/ or contributors of data, content, information, pictorial representations and/or images.

(h) The Platform and Services can be accessed and used by those individuals or business entities, including sole proprietorship firms, companies and partnerships, which can form legally binding contracts under the applicable law. Only individuals who are eighteen (18) years of age or older may use the Platform and avail Services.

2. Terms of Use

(a) The Company will provide Services to You subject to continuous compliance with the terms and conditions stipulated in this document. The Services are extended through the Platform that enables: the You to provide your name and email, and seek information pertaining to the business of Accio Robotics, its products, news and updates, and recruitments.

(b) By using the Platform or Services, you agree to comply with and be legally bound by the Terms of Service. These Terms govern your access to and use of the Platform and Services and constitute a binding legal agreement between you and Accio Robotics.

(d) You acknowledge and agree that, by accessing or using the Platform or Services orby accessing or downloading any content therein from the Platform, you are indicating that you have read, and that you understand and agree to be bound by these Terms and receive our Services.

(e) In the process of developing the Platform, the Company has made every effort to offer correct and clearly expressed information possible. Nevertheless, in advertent errors may occur including but not limited to the factors mentioned herein. TheCompany does not have any responsibility for any errors and accuracy of the information available on the Platform. The User may give us feedback pertaining to any error or issue in the contents on the Platform and/or Services by contacting the customer service.

(f) We reserve the right at any time to modify, suspend or discontinue the Service and/or eliminate any aspect or features of the Platform or the Services (or any part or content thereof) as it deems fit, without notice at any time and shall not be held liable to any third party for such change or modification or discontinuation as specified herein above. The Company makes no commitment, express or implied, to maintain or continue any aspect of the Platform / Services. The Company will notify you about any change in the Terms of Service or the Services or features ofPlatforms, via any medium including notice on the Platform.

(g) You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. This Platform and the Services are provided on an"AS IS" basis with all faults and without any warranty of any kind.

(h) The Company may, based on any form of access to the Platform or Services contact the User through SMS, e-mail and/or call, to give information about its products as well as notifications on various important updates and/or to seek permission for demonstration of its products and/or for marketing purposes. The User expressly grants such permission to contact him/her through telephone, SMS, e-mail. After the registration via the Platform, you acknowledge and agree that the employees of the Company or any person authorised by the Company in this regard, may contact you for the above mentioned purposes and promotional purposes through telephone, SMS, email etc. The Company shall have the right to monitor the download and usage of the Platform/ Services and the contents thereof by the User, as specified in the privacy policy of the Company in order to enable effective and efficient usage of the Services.

(i) Accio Robotics has taken the best efforts to train the personnel engaged in the sales and customer service departments, however it makes no warranties or representations whatsoever regarding the quality and competence of such personnel. Accio Robotics would not be responsible in any manner for any deviant behaviour of any such personnel. The User may give us feedback about the services provided by such personnel and Company reserves the right and discretion to take any action in this regard.

(j) The Platform, Services or any content, are compatible only with certain devices/tablets/ instruments/ hardware The Company shall not be obligated to provide workable products and / or services for any instruments that are not recognized by the Company or which are not compatible with the Company's products andServices. The Company reserves the right to upgrade the table/ type of compatible devices as it may deem fit from time to time.

(k) The Company shall have no responsibility for any loss or damage caused to device or any other hardware and / or software and/or instrument, including loss of data or effect on the processing speed, resulting from your use of our Services.

3. Conduct of the User

(a) You understand and agree that You are solely responsible for compliance with any and all applicable laws, rules, regulations that may apply to Your use of the Platform and Services. With respect to the Terms, the following may be noted:-

(i) It is the sole responsibility of the User to ensure that the information provided by the User is accurate, complete and latest.

(ii) You acknowledge and agree that the accessibility to the Platform is dependent on multiple external factors such as internet service providers, location, bandwidth and the Company does not guarantee accessibility to the Platform at all times. In addition to the disclaimers and conditions set forth in the Terms ofService, the Company shall not be liable to the User for any damages arising from Your inability to access the Services provided via the Platform at any time.

(iii)The Services viewed and accessed through the Platform are for Your personal and non-commercial use only and any other usage of the Platform or Services is prohibited. Your personal and non-commercial use of the Platform and / orServices shall be subjected to the following restrictions:

(1) You may not decompile, reverse engineer, or disassemble the contents of thePlatform and/or Services or modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Platform and/orServices, or remove any copyright, trademark registration, or other proprietary notices from the contents of the Platform and/or Services.

(2) You will not (a) use our Platform and/or any of our Service/s for commercial purposes of any kind, or (b) use the Platform/ and Services in any way that is unlawful, or harms the Company or any other person or entity as determined by the Company.(3) No User shall be permitted to perform any of the following prohibited activities while availing our Services:i) Interfering with any other person's use or enjoyment of thePlatform/ Services; ii) Making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner, committing any act that amounts to the infringement of intellectual property or making available any material that infringes any intellectual property rights or other proprietary rights of anyone else;

iii) Impersonate any person or entity, or falsely state the details;

iv) Access or use the Platform in any manner that could damage, disable, overburden or impair any of the Platform's servers or the networks connected to any of the servers on which the Platform is hosted; v) Intentionally or unintentionally interfere with or disrupt the services or violate any applicable laws related to the access to or use of thePlatform/Services, violate any requirements, procedures, policies or regulations of networks connected to the Platform/Services, or engage in any activity prohibited by these Terms;

vi) Disrupt or interfere with the security of, or otherwise cause harm to, thePlatform, materials, systems resources, , servers or networks connected to or accessible through the Platform/Services or any affiliated or linked sites;

vii)Access or tamper, or attempt to access or tamper, any part of thePlatform that is not meant for public viewing or access;

viii) Interfere with, or inhibit any user from using and enjoying access to the Platform/ Services, or other affiliated sites, or engage in disruptive attacks such as denial of service attack on the Platform/Services;

ix) Use deep-links, page-scrape, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to increase traffic to the Platform/Services, to access, acquire, copy or monitor any portion of the Platform/Services, or in any way reproduce or circumvent the navigational structure or presentation of thePlatform, or any content, to obtain or attempt to obtain any content, documents or information through any means not specifically made available through the Platform/Services;

x) Send spam, unsolicited or junk mails to any personnel employed or hired by Accio Robotics or to any of the Company’s email addresses. xi) Alter or modify any details of the Services via wrongful means;

xii)Any fraudulent use of the Platform, which causes any monetary loss to the Company as a result of Your action/inaction shall be recovered fromYou. Without prejudice to the above, the Company reserves the right to initiate legal proceedings against You for the fraudulent use of thisPlatform or for any other unlawful act or omission in breach of this Terms of Service;

xiii) Use the Services for purposes that are not permitted by: (i) theseTerms; and (ii) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdiction; or

xiv) Violate any of the terms specified under the Terms for the use of thePlatform/Services.

4. Forum, Blog, and Chat room Services

(a)You may be able to post messages to, and interact with Accio Robotics employees or representatives, or Accio Robotics service providers through, User forums, chatrooms, or blogs available on the Platform, in connection with your availment of theServices (each a “Forum”). Your use of these Forums is subject to and governed by this Terms of Use and such other policies specified on the Platform. By using any of the communications methods available on the Platform, you acknowledge and agree that (a) all communications methods constitute public, and not private, means of communication between you and the other party or parties, (b) communications sent to or received from third party service providers or other third parties are not endorsed, sponsored or approved by Accio Robotics in any manner (unless expressly stated otherwise by Accio Robotics) and (c) communications are not pre-reviewed, post- reviewed, screened, archived or otherwise monitored by Accio Robotics in any manner, though Accio Robotics reserves the right to do so at any time at its sole discretion in accordance with this Terms of Service. You acknowledge and agree that any services Accio Robotics provides to you via such Forums may be monitored or recorded for quality control purposes.

(b) While uploading any message on such Forum or anywhere on the Platform, you agree not to:

(i) defame, abuse, harass or threaten Accio Robotics or any third party;

(ii) contribute to any content that may be detrimental to the reputation of Accio Robotics;

(iii)post any false or misleading message;

(iv) post any inappropriate, infringing, obscene, pornographic, racist, terrorist, indecent, or unlawful content;

(v) use profane or objectionable language;

(vi) reveal any information that may be deemed to be confidential under any law or agreement; or

(vii) reveal any information that is protected from disclosures by any relevant law.

5. Proprietary Information and Intellectual Property Rights

(a) Except as expressly stated in the Terms of Service, all information, content, material, trademarks, services marks, trade names, and trade secrets including but not limited to the software, text, images, graphics, video, script and audio, contained in the Platform and/or Services are proprietary property of Accio Robotics(“Proprietary Information”). No Proprietary Information may be copied, downloaded, reproduced, modified, republished, uploaded, posted, transmitted or distributed in any way without obtaining prior written permission of Accio Robotics and nothing on the Platform and/or Services shall be deemed to confer a license of or any other right, interest or title to or in any of the intellectual property rights belonging to the Company, to the User. The Company shall at all times retain full and complete title to the information, content or materials and all intellectual property rights inserted by the Company on such medium. The Platform andServices are protected by the copyright, trademark, patent and other applicable laws of India.

(b) Accio Robotics grants You a limited, non-exclusive, non-transferable right/ license to access the Services. Except the right specifically mentioned herein, no right, title or interest shall be transferred to the User.

(c) You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights in or associated with the Platform and/or Services. All trademarks, service marks, logos, trade names, and any other proprietary designations of Accio Robotics used on or in connection with the Platform andServices are trademarks of Accio Robotics in India and abroad and are subject to the exclusive ownership of Accio Robotics.

(d) You will not (i) reproduce, modify, or prepare derivative works based upon the ProprietaryInformation; or(ii)copy or modify the HTML code to generate web pages on the Platform.

(e) You will not delete or tamper with any Proprietary Information management information, such as author attributions.

(f) Certain contents on the Platform may belong to third parties. Such contents have been reproduced after taking prior consent from said party and all rights relating to such content will remain with such third party. Further, You agree and acknowledge that the ownership of all trademarks, copyright, logos, service marks and other
intellectual property owned by any third party shall continue to vest with such party. You are not permitted to use the same without the consent of the respective third party.

6. Breach and Violation of the Terms

(a) In the event of any breach of these Terms by the User, the User agrees that theCompany will be irreparably harmed and may not have an adequate remedy in money or damages. The Company will be entitled to injunctive relief in addition to all applicable legal remedies.

(b) Any violation of the Terms of Service or any other policy of the Company by theUser may result in immediate suspension or cessation of provision of Services apart from any legal remedy that the Company can avail as per the applicable law. The violation of these Terms could also result in civil or criminal liability under applicable laws.

7. Indemnity and Liability

(a) The User agrees to defend, indemnify and hold harmless the Company, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) use of and access of the Platform/Services by theUser; (ii) violation by the User of any term of these Terms or any other policy of theCompany; (iii) violation by the User of any third party right, including without limitation, any copyright, property, or privacy right; (iv) any claim that the User’s use of the Platform/Services has caused damage to a third party; or (v) any violation of law by the User while availing the Services or using the Platform. This obligation will survive the Terms of Service.

(b) In addition to the terms expressly provided, in no event shall the Company, its officers, directors, employees, partners or agents be liable to the User or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits or any other claim arising out, of or in connection with, the User’s use of, or access to, thePlatform/ use of the Services.

(c) Notwithstanding any other terms of the Terms of Service, the liability of theCompany towards any use of the Services and/or access of the Platform or pursuant to the Terms of Service or on account of any other reason, shall at all times be limited to Rs. 10,00,000.

(d) The relevant law in certain jurisdictions may not allow the limitation of liability for consequential or incidental damages, in which case the above mentioned limitations may not apply to you.

8. Disclaimer

(a) Notwithstanding anything to the contrary, the Company will not be deemed to be responsible or in default for any delays or failure or issues in the performance resulting from acts beyond the control of the Company, including but not limited to
acts of God, weather (floods, tempest, tsunami etc), power failure, government alactions, war or national emergency (whether declared or not), acts of terrorism, protests, riot, lockdowns, civil commotion, fire, explosion, flood, and/or pandemics/epidemics.

(b) The Platform may contain inaccuracies, typographical or clerical errors. Accio Robotics disclaims any obligation to update any materials available on the Platform.We shall not be liable for any damage or loss caused to you for your reliance on any information available on the Platform.

9. Third Party Links

(a) You hereby acknowledge, agree and confirm that certain content, products and services available through the Services offered on the Platform may include materials from third-parties.

(b) Any third-party links on the Platform may direct You to third-party platforms that are not affiliated with Us. We are not responsible for examining or evaluating the content or accuracy and We do not warrant and will not have any liability or responsibility for any such third-party materials or platforms, or for any other materials, products, or services of third-parties.

10. Miscellaneous Provisions

(a) Change/ Modification

The Company has the right to change modify, suspend, or discontinue and/or eliminate any aspect(s), features or functionality of the Platform or the Services as it deems fit at any time. The Company has the right to amend these Terms from time to time as it deems fit. The Company makes no commitment, express or implied, to maintain or continue any aspect of the Platform/ Services. The Company will notifyYou about any change in the Terms of Service via any medium including notice on the Platform.

(b) Governing Law & Jurisdiction

(iii)This Terms of Service shall be governed and construed in accordance with the laws of India without reference to any choice or conflict of laws provisions.Subject to clause 10(b)(iv)below, the courts of Chennai shall have exclusive jurisdiction in case of any matter arising out of or in connection with thisAgreement.

(iv) The disputes arising out of or in connection with the Terms of Service and/or any other conditions/disclaimers forming part of the Platform shall be referred to arbitration to be conducted by sole arbitrator appointed by the Company and shall be settled in accordance with the Arbitration and Conciliation Act, 1996, as may be amended from time to time. The decision of the sole arbitrator shall be final and binding on the Parties. The venue and seat of arbitration shall beChennai and language shall be English.

The Terms, along with the Privacy Policy, and any other guidelines made applicable to the Platform/ Services from time to time, constitute the entire agreement between the Company and the User with respect to the access to or use of thePlatform and the Services thereof.

(d) Assignment

The User cannot assign or otherwise transfer their registration, rights or obligation sunder the Terms, or any right granted hereunder to any third party. The Company's rights or obligations under the Terms of Service are freely transferable by theCompany to any third parties without prior written consent of the User.

(e) Severability

If, for any reason, a court of competent jurisdiction finds any provision of the Terms, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the Terms shall continue in full force and effect.

(f) Waiver

Any failure by the Company to enforce or exercise any provision of the Terms, or any related right, shall not constitute a waiver by the Company of that provision or right.

11. Feedback

Any feedback provided by the User with respect to the Platform and Services shall be deemed to be non-confidential and may be used on an unrestricted basis to improve the quality of Services offered by the Company. Further, the User represent and warrant that (i) the feedback does not contain confidential or proprietary information of the User or of third parties; (ii) the Company is not under any obligation of confidentiality, express or implied, with respect to the feedback; and (iii) the User is not entitled to any compensation or reimbursement of any kind from the Company for the feedback under any circumstances.

We attempt to make all best endeavors to provide our Users with a content, satisfying and enjoyable experience. In the unlikely event that You face any issues or wish to give any feedback, please contact us at support@acciorobotics.com.

You acknowledge and agree to the Terms and understand that they shall apply toYour use of the Platform and Services. The Company has given You a reasonable opportunity to review these Terms and after reviewing and understanding theTerms, You have agreed to the same.
